Terms of Use

These Terms of Use (Terms) govern your access to and use of the Telu service operated by Telu Pty Ltd (ACN pending) (Telu, we, us). By creating a Telu account or otherwise using the Service, you agree to be bound by these Terms.
1. Definitions
- Account means the user account you register with Telu.
- Customer Data means data you upload to or generate within the Service, including general ledger exports, account mappings, adjustment journals and consolidation outputs.
- Service means the Telu hosted financial consolidation platform, including the website at telu.com.au and the dashboard application.
- Subscription means a paid plan that entitles you to use the Service for a specified period.
2. Subscription and access
Subject to these Terms and to your payment of the applicable Subscription fees, Telu grants you a non-exclusive, non-transferable, worldwide right to access and use the Service for your internal business purposes during your Subscription term.
We may suspend or terminate your access if your Subscription expires without renewal, if a payment fails after reasonable retry, or if you materially breach these Terms.
3. Your responsibilities
- You are responsible for maintaining the confidentiality of your Account credentials.
- You will only upload Customer Data that you have the right to use and disclose to Telu.
- You will not attempt to reverse engineer the Service, resell the Service without our written consent (except under our Reseller plan), or use the Service in a way that disrupts other customers.
4. Customer Data and privacy
You retain all right, title and interest in your Customer Data. You grant Telu a limited licence to host, process and display your Customer Data solely to provide and improve the Service.
Our handling of personal information is governed by our Privacy Notice, which forms part of these Terms.
5. Third-party integrations
The Service may import data from third-party accounting platforms (including Xero, QuickBooks and MYOB) via file exports you provide and, in future, via OAuth-authorised connections. Your use of those third-party services is governed by their own terms; Telu is not responsible for the availability or behaviour of those services.
6. Intellectual property
Telu and our licensors retain all right, title and interest in the Service, including all software, designs, trade marks and documentation. These Terms do not transfer any intellectual property rights to you other than the limited access right described above.
7. Confidentiality
Each party will keep the other party's confidential information confidential and will only use it to exercise rights or perform obligations under these Terms. Customer Data is your confidential information.
8. Fees and payment
Subscription fees and any usage-based charges are set out on the ordering page or in your order form. Fees are payable in advance and are non-refundable except where required by law. We may adjust fees on at least 30 days' notice before the start of a renewal term.
9. Disclaimers
The Service is provided "as is". To the maximum extent permitted by law, Telu disclaims all warranties not expressly granted in these Terms, including warranties of merchantability, fitness for a particular purpose and non-infringement. The Service is a tool to assist with financial consolidation and does not constitute accounting, tax or financial advice.
10. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded. Where our liability for a breach of a non-excludable consumer guarantee can be limited, our liability is limited (at our option) to re-supplying the Service or paying the cost of having the Service re-supplied.
11. Limitation of liability
To the extent permitted by law, neither party will be liable for any indirect, special or consequential loss, including loss of profits, revenue or data. Each party's aggregate liability under these Terms is capped at the fees paid by you in the 12 months preceding the event giving rise to the claim.
12. Termination
Either party may terminate these Terms for material breach that is not remedied within 30 days of written notice. On termination, your access to the Service ends and you may export your Customer Data within 30 days of termination, after which we may delete it.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified at least 30 days in advance via email or in-product notice. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
14. Governing law
These Terms are governed by the laws of Western Australia. Each party submits to the exclusive jurisdiction of the courts of Western Australia and the courts of appeal from them.
